Accepting Terms of Service

These Terms of Service determine your access to and usage of the products and services provided by the Company's website developer (Referred to as “TheVillage,” “we,” “our,” “Company,” ) . The Company's website can be found at (https://thevillagemate.com/). These Terms and Conditions constitute a legal agreement between you (and are referred to herein as “you,” “your,” “User(s)”, “Village Mate(s)”) and the Company. By utilizing the Services, you confirm and agree to follow these Terms and Conditions as well as our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms of Use or the Privacy Policy, you should not access or use the Services.

THE FOLLOWING TERMS OF SERVICE CONTAIN IMPORTANT INFORMATION REGARDING YOUR RIGHTS, OBLIGATIONS, LIMITATIONS, AND EXCLUSIONS THAT MAY APPLY TO YOU. REVIEW THEM CAREFULLY TO AVOID ANY CONFUSION. IT IS IMPORTANT TO NOTE THAT THESE TERMS OF SERVICE REQUIRE THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS.

By logging in, accessing our products or services, or checking the Terms of Service checkbox, you agree to these Terms of Service behalf of yourself and any business or organization you represent.

Please note that you cannot use our services in the following cases :
- If you do not agree to these Terms of Service.
- If you are under 18 years of age with the exception of emancipation.
- If you were previously removed from our platform.
- If you are prohibited from accessing or using our services by applicable law.
- If you are not listed on any U.S. government list of prohibited or restricted parties.
- If you are located in a country that is subject to a U.S. government embargo, or that has been designated by the U.S. government as a “terrorist advocate” country.

Service Accessibility

We have the right to modify or discontinue any of our services, products or materials provided on the Services without notice at our sole discretion. We will not be responsible in case any or all of the Services become unavailable for any reason or period of time. Occasionally, we may limit access to certain parts of the Services, or to the entire Services, to users.

 

It's important to ensure that you make all the necessary arrangements to access the Services. Additionally, make sure that anyone who accesses the Services through your Membership and internet connection is aware of these Terms of Service and follows them accordingly.

 

In order to use the Services and all of its resources, you may be required to provide certain registration details or other information. It is a requirement for using the Services that any information you provide is accurate, up-to-date, and complete. By registering with the Services or using any interactive features, you agree that our Privacy Policy governs all information you provide, and you consent to all actions we take with respect to your information in accordance with the Privacy Policy.

Updates

As TheVillage expands, it may be necessary to update the Terms of Service. Please note that any revisions to the Terms of Service are effective immediately upon posting and apply to all access and use of the platform services going forward.

 

By continuing to use the platform after the updated Terms of Service have been posted, you indicate that you accept and agree to the changes. It is your responsibility to check this page every time you access the services so that you are aware of any changes, as they are mandatory for you.

Security

If you are given a username, email, password, or any other information as part of our security procedures, you must keep it confidential and not share it with anyone else. Although your Membership may include other individuals, your account is personal to you, so you should not give your username, email, password, or other security information to anyone else. If you detect any unauthorized access or use of your username, email, or password, or any other security breach, you must notify us immediately. You should also make sure to log out of your account at the end of each session. When accessing your account from a public or shared computer, you should exercise caution to prevent others from viewing or recording your password or any other personal information.

 

WE RESERVE THE RIGHT TO DEACTIVATE ANY USERNAME, EMAIL ADDRESS, PASSWORD, OR OTHER IDENTIFIER, WHETHER SELECTED BY YOU OR PROVIDED BY US, AT ANY TIME AND SOLELY AT OUR DISCRETION, FOR ANY REASON OR NO REASON AT ALL. THIS INCLUDES SITUATIONS WHERE WE BELIEVE, IN OUR JUDGMENT, THAT YOU HAVE BREACHED ANY OF THESE TERMS OF SERVICE.

Village Mates

Please note that any relationship you form with another user or Village Mate, whether through the Services or outside of them, is solely between you and that user. We do not own, control, provide, or endorse the services or products offered by any user, nor do we act as a representative of any user. We do not monitor user communications, services, products, or any other activities, and we are not responsible for them. Therefore, it is important that you exercise caution and use your best judgment when communicating or interacting with other users. Users are responsible for complying with all applicable laws, rules, regulations, and third-party agreements that apply to the services or products they offer.

Village Mate Content

Please be advised that you are solely responsible for all information, data, text, messages, inquiries, images or other materials that you upload or have uploaded on TheVillage Site or related platforms, or that you authenticate and permit TheVillage to upload, or have authenticated and permitted TheVillage to upload, to TheVillage Services, including through the integration and use of your TheVillage service account.

THEVILLAGE RESERVES THE RIGHT TO INVESTIGATE AND TAKE APPROPRIATE LEGAL ACTION AGAINST ANYONE WHO, IN THEVILLAGES SOLE DISCRETION, VIOLATES THIS PROVISION. THIS INCLUDES, WITHOUT LIMITATION, REMOVING CONTENT FROM THE SITE, SUSPENDING OR TERMINATING THE ACCOUNT OF SUCH VIOLATORS, AND REPORTING THEM TO THE LAW ENFORCEMENT AUTHORITIES. BY UPLOADING ANY CONTENT, YOU WAIVE AND HOLD HARMLESS THEVILLAGE FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY THEVILLAGE DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER THEVILLAGE OR LAW ENFORCEMENT AUTHORITIES ENGAGED TO INVESTIGATE INAPPROPRIATE ACTIVITY.


Keep in mind the following when using TheVillage Services :

  • Do not upload any content that infringes on the intellectual property or other proprietary rights of any party, or that you do not have the right to upload under any law or contractual or fiduciary relationships.
  • Do not upload any content that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software, hardware, or telecommunications equipment.
  • Do not upload any content that may pose or create a privacy or security risk to any person, or that is unlawful, harmful, threatening, abusive, harassing, tortious, excessively violent, defamatory, vulgar, obscene, pornographic, libelous, invasive of another's privacy, hateful racially, or ethnically, or otherwise objectionable.
  • Do not interfere with or disrupt TheVillage Services or servers or networks connected to TheVillage Services.
  • Do not violate any applicable local, state, national, or international law, or any regulations having the force of law.
  • Do not impersonate any person or entity, or falsely state, impersonate, or otherwise misrepresent your affiliation with a person, entity, company, or educational or post-graduate institution.
  • Do not solicit personal information from anyone under the age of 18, or send invitations to use TheVillage Services to individuals under the age of 18.
  • Do not harvest or collect email addresses or other contact information of other users from TheVillage Services for the purposes of sending unsolicited emails or other unsolicited communications.
  • Do not advertise or offer to sell or buy any goods or services for any business purpose that is not specifically authorized.
  • Do not further or promote any criminal or illegal activity or enterprise.
  • Do not attempt to access or otherwise obtain any materials or information through any means not intentionally made available or provided for through TheVillage Services.

License to Content

When you upload or allow TheVillage to upload any User Content or authorize TheVillage to access your account through TheVillage Services, you are granting us authorization to access information available through our Services. Additionally, you are granting TheVillage and its Village Partners a nonexclusive, worldwide, royalty-free, transferable, sublicensable (directly or indirectly through multiple tiers), perpetual, and irrevocable license to use your User Content. This license allows TheVillage to copy, display, upload, perform, distribute, store, modify, and use your User Content in connection with the operation or improvement of Mentor Collective Services, the development of new products and services, and the promotion, advertising, or marketing of the foregoing, in any form, medium, or technology now known or later developed. TheVillage and its affiliates may also use Statistical Data relating to your User Content or use of the Services. TheVillage may combine this Statistical Data with other data or information available, derived, or obtained from other sources. 

 

If you provide TheVillage with any questions, comments, suggestions, ideas, feedback, or other information about TheVillage Services (collectively, “Submissions”), you acknowledge and agree that these Submissions are non-confidential. TheVillage will be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

TheVillage™ Content Removal, and Preservation

You agree that TheVillage may only retain your User Content for specific purposes as described below :

  • To comply with legal process, applicable laws or government requests
  • To enforce this Agreement
  • To respond to claims that any User Content violates the rights of third parties
  • To protect the rights or personal safety of TheVillage, its Services for Village Mates, and the general public.

Except for the reasons listed above, all User Content will be deleted within thirty days after an agreement between TheVillage and Village Partners is terminated. You understand that the technical processing and transmission of TheVillage Services, including your content, may involve transmissions over various networks and changes to conform and adapt to the technical requirements of connecting networks or devices.

 

Moreover, TheVillage has the sole right to remove any User Content from its Services that it believes, in its sole discretion, to be in violation of this Agreement or otherwise inappropriate in any way.

TheVillage™ Liability for Third-Party Content

Please note the following disclaimer : TheVillage is not liable for any content uploaded by third parties or at the direction of Village Mates using TheVillage Services. This includes any errors or omissions in the content, as well as any loss or damage incurred from using the content uploaded or emailed via TheVillage Services. Please be aware that TheVillage may not pre-screen content, but it reserves the right to refuse or remove any content available through its services at its sole discretion. As a user, you must evaluate and assume all risks related to the use of any content, including any reliance on its accuracy, completeness, or usefulness.

Intellectual Property Rights

Please note that all trademarks, service marks, and logos related to TheVillage Services are either owned by or licensed to TheVillage, and are protected by copyright and other intellectual property rights. As a user, you have no rights to transfer or reproduce the Services, prepare any derivative works based on the Services, or disclose any confidential information pertaining to the Services. This agreement is not a sale and does not convey any ownership rights related to the Service or Intellectual Property owned by TheVillage to you.

 

In order to comply with the Terms of Service, refrain from modifying any copies of materials from the Services, using any illustrations, photographs, video or audio sequences, or any graphics separately from accompanying text, or deleting or altering any copyright, trademark, or other proprietary rights notices from copies of materials from the Services.

 

Additionally, please note that the Company name, the Company logo, URL, and all related names, logos, products and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. You must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.

Prohibited Uses

You may only use the Services for lawful purposes and in compliance with these Terms of Service. You agree not to use the Services:

 

1) To impersonate or attempt to impersonate the Company, a Company Representative, another Village Mate, or any other person or entity by using email addresses associated with any of the foregoing.
2) In any way that violates any applicable federal, state, local, or international law or regulation, including but not limited to laws regarding data or software export to and from the US or other countries.

3) To charge users any fee for any goods, products, services, or communication you provide, or to accept any form of payment for such services, goods, or products without written approval of TheVillage Corporate team.

4) To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation.

5) To exploit, harm, or attempt to exploit or harm minors by exposing them to inappropriate content, requesting personally identifiable information, or in any other way.

6) To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or may, as determined by us, harm the Company or users of the Services, or expose them to liability.

Know Your State Laws for TheVillage™ Services

Be aware of the laws and regulations in your state, county, region, or country that may apply to the services you use. Depending on the type of service, legal requirements can vary, and it is essential to have a thorough understanding of them to avoid any legal complications. For instance, if you are using childcare Services, your state may have specific laws governing the number of children who can receive home care services at a time or requirements and restrictions concerning Medical care for licensing or certification purposes. Similarly, if you are using financial services, your state may have regulations regarding the types of financial products that can be offered. It is important to note that violating these regulations can have severe legal consequences, such as lawsuits, fines, or even imprisonment. Therefore, it is vital to conduct thorough research and educate yourself on the laws that apply to the services you use. This way, you can ensure that you are operating within the legal boundaries and avoid any legal issues or complications down the line.
